Terms of Service

Acceptance

By creating an account or using Spatial (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms form a binding agreement between you and Spatial ("we", "our", or "us"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Description of service

Spatial is an AI-native coding platform consisting of a desktop application and a web dashboard. The Service provides AI-assisted code generation, review, and editing capabilities by routing requests to third-party AI model providers. Features vary by plan.

We reserve the right to modify, suspend, or discontinue the Service or any feature at any time with reasonable notice. We are not liable to you or any third party for any such modification, suspension, or discontinuation.

Account registration

You must provide a valid email address to create an account. You are responsible for keeping your credentials secure and for all activity that occurs under your account. Notify us immediately at legal@spatial.dev if you suspect unauthorized access.

You may not share your account, create accounts on behalf of others without authorization, or use automated means to create accounts.

Acceptable use

You agree not to use the Service to:

  • Generate, distribute, or assist in creating malware, exploits, or malicious code
  • Violate any applicable law or regulation
  • Infringe on intellectual property rights of others
  • Circumvent rate limits, access controls, or plan restrictions through technical means
  • Submit code, data, or prompts that contain personal data you are not authorized to process
  • Probe, scan, or test the vulnerability of our systems without authorization
  • Resell or sublicense the Service without our prior written consent

We may suspend or terminate accounts that violate these restrictions without prior notice.

Plans and billing

Free plan

The free plan provides limited access to AI features within usage caps we set at our discretion. We may adjust free tier limits at any time with reasonable notice.

Paid plans

Paid subscriptions are billed in advance on a monthly or annual basis. Prices are listed in USD. We will notify you at least 14 days before any price increase takes effect for existing subscriptions.

Cancellation and refunds

You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period; you retain access until then. We do not offer prorated refunds for unused time, except where required by law.

Bring your own API keys

If you connect your own API keys from a third-party provider, usage through those keys is billed directly by that provider under their own terms. We are not responsible for charges incurred through your own keys.

AI-generated content

Spatial uses AI models to generate code and suggestions. AI output may contain errors, security vulnerabilities, or inaccuracies. You are responsible for reviewing all AI-generated code before incorporating it into your projects or deploying it.

We do not warrant that AI-generated output is correct, complete, secure, or fit for any particular purpose. Use of AI-generated code is at your own risk.

Intellectual property

Your code

You retain ownership of all code and content you create using the Service. We claim no ownership over your work product.

Our platform

The Spatial application, dashboard, and associated intellectual property are owned by us. These Terms do not grant you any rights in our trademarks, logos, or product names.

Feedback

If you provide feedback or suggestions about the Service, you grant us an irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

Third-party services

The Service relies on third-party AI model providers (including Anthropic, OpenAI, Google, and others). Your use of AI features is subject to those providers' terms and policies in addition to these Terms. We are not responsible for the availability, accuracy, or conduct of third-party providers.

Disclaimer of warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

Limitation of liability

To the maximum extent permitted by law, Spatial and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service, even if advised of the possibility of such damages.

Our total liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

Indemnification

You agree to indemnify and hold harmless Spatial and its affiliates from any claims, losses, or damages (including reasonable legal fees) arising from your use of the Service in violation of these Terms or applicable law.

Termination

You may delete your account at any time from your account settings. We may suspend or terminate your account if you violate these Terms, if required by law, or if we cease operating the Service. Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination (liability, IP ownership, dispute resolution) will do so.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Changes to these terms

We may revise these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
