Terms of Service

Acceptance
By accessing or using Spatial (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" includes both you and that organization.
Eligibility
You must be legally able to enter into a binding contract to use the Service and, in any event, must be at least 13 years old. If you are under the age of majority where you live, you may use the Service only with permission from a parent or legal guardian.
Description of service
Spatial is an AI-native coding platform that includes a desktop application, web dashboard, APIs, and related tools for coding, review, editing, automation, and integrations. Some features run locally on your device and some are hosted by us or by third-party providers.
The Service may change over time. We may add, remove, suspend, or modify features, models, integrations, and limits at any time. We will use reasonable efforts to provide notice for material adverse changes when practical.
Beta and experimental features
Some features may be marked as beta, preview, experimental, or early access. Those features may be incomplete, unstable, or subject to additional limits, and may be changed or discontinued at any time without notice.
Accounts and security
You must provide accurate account information and keep it up to date. You are responsible for safeguarding your login credentials, API keys, connected accounts, and devices, and for all activity that occurs under your account.
Notify us promptly at legal@prismos.dev if you become aware of unauthorized access or a security incident involving your account.
A single natural person may not create, control, or use more than one account without our prior written permission. Attempting to bypass this restriction through VPNs, proxies, disposable or multiple email addresses, device rotation, or similar techniques is prohibited and may result in a permanent ban.
Plans, billing, and credits
Free and paid access
We may offer free accounts, paid plans, prepaid credits, promotional credits, or other usage entitlements. Features, model access, usage caps, and rate limits vary by plan and may change over time.
Billing provider
Paid plans, top-ups, and similar transactions are processed through Polar and its payment partners. Prices are generally displayed in USD unless otherwise stated. You authorize us and our billing providers to charge the payment method you provide for all applicable fees, taxes, and similar charges.
Renewals, cancellation, and refunds
Subscriptions renew automatically unless canceled before the next billing cycle. If you cancel, your access continues through the end of the then-current paid period unless otherwise stated. Except where required by law, all purchases are final, fees are non-refundable, and we do not provide prorated refunds for partial billing periods, top-ups, or unused credits.
Credits and balances
Credits, top-ups, and promotional balances may be used only for the Service, have no cash value except where required by law, and may expire or be forfeited if stated when issued. We may deduct balances as usage is incurred.
If your account is permanently banned for violating these Terms, you agree that no refund will be issued except where required by law, and any remaining balance, credits, or similar entitlements may be forfeited.
Bring your own provider credentials
If you connect your own provider credentials or accounts, usage through those credentials may be governed and billed separately by the relevant provider under that provider's own terms. You are solely responsible for those charges and for maintaining valid authorization to use those credentials.
Your content and permissions
As between you and Spatial, you retain ownership of the code, prompts, files, messages, and other content you submit to the Service ("Input"), as well as any project materials you upload, connect, or store through the Service.
You grant us a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, modify, and display your Input only as needed to operate, secure, maintain, and improve the Service, to provide the features you request, and to comply with law. This license ends when your content is deleted from our systems, except to the extent retention is required for backup, audit, legal, or security purposes.
You represent that you have all rights, permissions, and authority necessary to submit Input to the Service and to authorize us and our providers to process it on your behalf.
AI-generated output
The Service uses AI systems to generate code, suggestions, plans, reviews, and other output ("Output"). Output may be inaccurate, incomplete, insecure, offensive, or unsuitable for your use case. You are responsible for reviewing, testing, and validating Output before relying on it or deploying it.
Because AI systems are probabilistic, Output may not be unique and other users may receive similar or identical results. We do not guarantee that Output will be correct, available, original, non-infringing, or fit for any particular purpose.
You acknowledge that, because LLMs and agentic systems are non-deterministic and can act unpredictably, the Service may generate flawed code, introduce bugs, create security issues, make damaging edits, run destructive commands, or otherwise produce dangerous or undesirable outcomes. You are solely responsible for deciding whether to run, apply, merge, deploy, or rely on any Output, command, patch, or workflow suggested or executed through the Service.
Acceptable use
You may not use the Service to, or to assist others to:
- Generate, deploy, or facilitate malware, exploits, credential theft, phishing, or other malicious code or activity
- Violate any law, regulation, court order, or third-party right, or use the Service in connection with fraud, unauthorized access, theft, harassment, or any other illegal activity
- Infringe, misappropriate, or violate intellectual property, privacy, confidentiality, or data-protection rights
- Submit personal data, secrets, credentials, export-controlled materials, or regulated information unless you are authorized to do so and the Service is appropriate for that use
- Probe, scan, reverse engineer, benchmark without permission, overload, interfere with, or bypass access controls, rate limits, safety features, or plan restrictions
- Use the Service for spam, deceptive practices, impersonation, or other abusive or fraudulent conduct
- Create or operate more than one account for the same person, or attempt to evade account restrictions, bans, or plan limits using VPNs, proxies, alternate email addresses, or other circumvention techniques
- Resell, sublicense, or provide unauthorized third parties with access to the Service
- Use the Service in a way that creates unreasonable risk of harm, including for high-risk decisions or safety-critical systems, without appropriate human review and safeguards
Use of the Service to create malware or to support any illegal activity is strictly forbidden and will result in a permanent ban.
Third-party providers and connected services
The Service may rely on third-party AI models, authentication providers, billing services, hosting providers, and optional integrations. Your use of those features may also be subject to the third party's own terms, privacy policy, and technical limits.
In particular, every LLM request is processed by an underlying model provider, and that provider may retain or process conversation data under its own policies. Claude models and OpenAI-backed models may also run through their corresponding local runners, such as Claude Code CLI or Codex CLI, which can maintain their own account-side histories outside of Spatial. You are responsible for reviewing the third party's terms and privacy policy before using those flows, including Anthropic's and OpenAI's policies where applicable.
We are not responsible for the availability, performance, security, or acts or omissions of third-party services. If a third-party provider suspends access or changes its offering, corresponding features in the Service may be affected.
Feedback
If you provide feedback, ideas, or suggestions about the Service, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that feedback into the Service without compensation or obligation to you.
Suspension and termination
You may stop using the Service at any time and may delete your account through the product where available. We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, created risk for the Service or others, failed to pay required fees, or if we are required to do so by law.
Any breach of these Terms may result in suspension or permanent ban. Where we determine a permanent ban is appropriate, we may disable access without prior notice, deny creation of replacement accounts, and forfeit outstanding balances or credits to the extent permitted by law and these Terms.
If you believe a suspension or ban was imposed in error, you may appeal by emailing support@prismos.dev and providing evidence showing that the restriction was misplaced. Appeal decisions are made in our sole discretion by the site administrator or their delegate. If we grant an appeal, we may restore some or all of the affected balance, credits, or access.
Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination will survive, including provisions related to ownership, feedback, disclaimers, liability limits, indemnity, dispute resolution, and payment obligations.
Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Service will be uninterrupted, error-free, secure, or free of harmful components.
Limitation of liability
To the maximum extent permitted by law, Spatial and its affiliates, officers, employees, contractors, licensors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or use, arising out of or related to the Service or these Terms, even if advised of the possibility of such damages.
Our aggregate liability for all claims arising out of or related to the Service or these Terms will not exceed the greater of (a) the amount you paid us for the Service during the 12 months before the event giving rise to the claim or (b) $100 USD.
Without limiting the foregoing, we are not responsible for damage, liability, loss, downtime, security incidents, bugs, regressions, data loss, destructive commands, or other harm arising from the application, the agent, any AI-generated or AI-modified code, commands that are suggested or executed, or your reliance on any model output or automated workflow.
These limitations apply regardless of the form of action, whether in contract, tort, strict liability, statute, or otherwise, and even if any limited remedy fails of its essential purpose.
Indemnification
You agree to defend, indemnify, and hold harmless Spatial and its affiliates, officers, employees, contractors, and agents from and against claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable legal fees, arising out of or related to your Input, your use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.
You are solely responsible for your conduct and for any illegal, harmful, or unauthorized activity carried out through your use of the Service. We are not responsible for crimes, regulatory violations, or other unlawful acts committed by users.
Time limit to bring claims
To the maximum extent permitted by law, any claim arising out of or relating to the Service or these Terms must be brought within one year after the events giving rise to the claim first occurred; otherwise, the claim is permanently barred.
Export controls and sanctions
You may not use the Service in violation of export-control, sanctions, or trade-compliance laws, including U.S. export laws and regulations. You represent that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to applicable embargoes or sanctions that would prohibit your use of the Service, and that you are not a prohibited or restricted party.

Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. Before either party starts a formal legal proceeding, that party must first send written notice of the dispute and allow at least 30 days for informal resolution, unless immediate injunctive relief is necessary.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may bring an individual claim in small-claims court if it qualifies, or seek injunctive or equitable relief in a court of competent jurisdiction for misuse of intellectual property, unauthorized access to the Service, or other claims for which interim equitable relief is appropriate.
You and Spatial waive any right to a jury trial and any right to participate in a class action, class-wide arbitration, or other representative proceeding.
Miscellaneous
We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign these Terms without our prior written consent.
Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision. If any provision is found unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
These Terms, together with any incorporated policies and any applicable order or plan terms, form the entire agreement between you and us regarding the Service and supersede prior or contemporaneous understandings relating to the Service.
You agree to receive notices from us electronically, including by email, in-app notice, or posting through the Service, where permitted by law.
Force majeure
We are not liable for delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or hosting failures, third-party service outages, or governmental action.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting an update through the Service or sending an email. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms.
